ctrlyoke Enterprise Subscription Terms

Effective Date: As to each Customer, the date that Customer accepts these Enterprise Terms as described in Section 2

1. Agreement and Definitions

These ctrlyoke Enterprise Subscription Terms (the Enterprise Terms) supplement the ctrlyoke Commercial License (the EULA). The EULA governs rights to install, access, and use the Software, including the Enterprise license grant in EULA Section 6(d). These Enterprise Terms govern the related subscription, billing, renewal, cancellation, and support terms.

An Order means the applicable checkout record, order form, or invoice identifying the Enterprise subscription. Customer means the single legal entity identified in the Order. Authorized Users means Customer’s employees and officers, and contractors engaged to perform work for Customer, who use the Software in the course of that work. Subscription Term means the Initial Term or a Renewal Term described in Section 4.

Capitalized terms not defined in these Enterprise Terms have the meanings given in the EULA. The version of each document applicable to a purchase is the version in effect on the date of the applicable Order, and Licensor records the accepted document versions as described in the Privacy Policy.

The Order, these Enterprise Terms, the EULA, and the ctrlyoke Data Processing Agreement (the DPA) constitute the agreement between Customer and Licensor concerning the Enterprise subscription (collectively, the Agreement). For an Enterprise subscription, this paragraph replaces EULA Section 16(a). If the documents conflict: (a) the DPA controls concerning the processing of Customer Personal Data; (b) an Order signed by Licensor controls concerning transaction-specific commercial terms; (c) these Enterprise Terms control concerning subscription administration; and (d) the EULA otherwise controls concerning Software use and intellectual-property rights. Section 3 of these Enterprise Terms clarifies and controls over EULA Section 6(d) concerning the entities, users, and machines covered by this Enterprise subscription.

Lemon Squeezy’s buyer terms separately govern Customer’s payment transaction with Lemon Squeezy as merchant of record. Those buyer terms control to the extent required for Lemon Squeezy to process a payment, tax, refund, or chargeback.

2. Business Use and Acceptance

The Enterprise subscription is offered for business and organizational use, not for personal, family, or household use.

Customer accepts these Enterprise Terms by either:

  • affirmatively selecting an acceptance checkbox or button and completing checkout after being presented with conspicuous notice of, and links to, these Enterprise Terms, the EULA, the Privacy Policy, and the DPA; or
  • signing or otherwise accepting an Order that incorporates these Enterprise Terms.

The individual accepting on Customer’s behalf represents and warrants that the individual has authority to bind Customer. If the individual lacks that authority, the individual must not complete the purchase.

Activation of a license key by an Authorized User is governed by the EULA but, standing alone, does not bind an entity to the commercial terms of an Order.

3. Subscription Scope

(a) Site license

During a paid Subscription Term, Customer may permit an unlimited number of Authorized Users within the single legal entity identified in the Order to use Pro Tier capabilities. Customer affiliates, parents, subsidiaries, and other entities under common control are not covered unless an Order signed by Licensor expressly includes them.

Customer is responsible for its Authorized Users’ compliance with the Agreement and must not disclose the license key or signed license file outside Customer and its Authorized Users.

(b) Machine activations

The standard Enterprise license permits up to 3,000 registered machines at one time. This technical ceiling is an abuse-prevention control, not a purchased-seat count. Licensor will, on reasonable request and without an additional per-seat license fee, reasonably increase or reissue the license for documented legitimate internal use that would otherwise exceed the ceiling, subject to technical feasibility and Customer’s compliance with the Agreement.

(c) Reservation of rights

Except for the Enterprise coverage stated in this Section, all use remains subject to the EULA, including its restrictions, ownership provisions, and revocation rights.

4. Term and Automatic Renewal

(a) Initial Term

The subscription begins when the initial payment is successfully completed, or on another start date stated in the Order, and continues for one (1) year (the Initial Term).

(b) Automatic Renewal

Unless Customer cancels in accordance with Section 6, the subscription automatically renews for successive one-year periods (each a Renewal Term). The payment method on file will be charged on the renewal date shown in the Lemon Squeezy customer portal or Order.

Licensor or Lemon Squeezy will send the billing contact a renewal reminder at least thirty (30) days before each annual renewal. Customer is responsible for keeping its billing email address current.

(c) Renewal price

The renewal price is the price shown for Customer’s subscription in the customer portal or applicable renewal notice. A change to the public list price does not, by itself, change the price of an existing subscription.

Licensor may propose a price change for a future Renewal Term by giving at least thirty (30) days’ notice. A proposed increase will apply only if Customer affirmatively accepts it where required by applicable law or the payment platform; otherwise, Customer may cancel before renewal. No price change applies retroactively to a paid Subscription Term.

5. Billing, Taxes, and Payment

Lemon Squeezy acts as merchant of record and authorized reseller for self-serve purchases. Customer authorizes Lemon Squeezy to charge the payment method provided at checkout for the initial purchase and each renewal, together with taxes Lemon Squeezy is required to collect. Lemon Squeezy handles payment processing, receipts, refunds, chargebacks, and applicable transaction-tax calculation, collection, and remittance under its buyer terms.

Customer must provide accurate billing and tax information. Except where the Order states otherwise, fees are charged in advance and are exclusive of taxes that Customer is legally required to self-assess or pay directly.

If a renewal payment is not successfully completed, the subscription does not renew and the Enterprise license may expire at the end of the paid Subscription Term. Lemon Squeezy may retry the payment under its recovery and dunning process; a successful recovered payment renews the subscription when processed. A full refund, fraudulent purchase, unauthorized payment reversal, or chargeback may result in suspension or revocation under EULA Section 6(e).

6. Cancellation

Customer may turn off automatic renewal through the Lemon Squeezy customer portal. Portal cancellation must be completed before the scheduled renewal charge. Customer may also request cancellation by emailing billing@ctrlyoke.dev; to allow time for processing, an email request must be received at least forty-eight (48) hours before the scheduled renewal.

Cancellation stops future renewal and takes effect at the end of the then-current paid Subscription Term. Customer’s Enterprise license remains usable through that date unless earlier suspended or terminated under the Agreement. Cancellation does not entitle Customer to a refund for the unused portion of a paid Subscription Term.

7. Refunds

Except as required by applicable law or expressly stated in an Order, fees are non-refundable and there are no credits or refunds for a partially used Subscription Term. Refund requests are administered under Lemon Squeezy’s buyer terms and refund process. If Lemon Squeezy grants a full or partial refund, Licensor may suspend, terminate, or adjust the corresponding Enterprise license and Subscription Term to reflect that refund.

8. Support and Availability

Enterprise subscribers receive priority email support at support@ctrlyoke.dev. Unless an Order or support addendum expressly states a service level, support is provided on a commercially reasonable, best-efforts basis, with no guaranteed response or resolution time. Software support, updates, and availability otherwise remain subject to EULA Section 9. Support is provided in English during Licensor’s normal business hours in the United States Central Time zone.

9. Data Protection

Licensor’s processing of personal data is described in the Privacy Policy. The DPA is incorporated into the Agreement and applies automatically to the extent Licensor processes Customer Personal Data on Customer’s behalf. No separate countersignature is required, although Licensor will provide an execution copy on request.

10. Suspension and Termination

Licensor may suspend or terminate the Enterprise license as permitted by EULA Sections 6(e) and 15. Expiration or cancellation of the subscription ends Customer’s right to use Pro Tier capabilities but does not, by itself, terminate any Free Tier rights for which Customer remains eligible under the EULA.

Sections that by their nature should survive expiration or termination survive, including accrued payment obligations and the EULA provisions identified in EULA Section 15(c).

11. Purchase Orders and Invoicing

Customer requiring a purchase order, formal invoice with payment terms, or negotiated order form should contact sales@ctrlyoke.dev before purchasing. A purchase order is for Customer’s administrative convenience only; preprinted or incorporated purchase-order terms do not modify the Agreement unless Licensor expressly agrees to them in a signed Order.

12. Warranties, Liability, and Disputes

The warranty disclaimers and limitations of liability in EULA Sections 12 and 13 apply to these Enterprise Terms and the subscription. For purposes of the liability cap in EULA Section 13, amounts Customer pays for the Enterprise subscription through Licensor’s authorized reseller are treated as amounts paid to Licensor. EULA Sections 16(b) (Governing Law; Venue) and 16(g) (Dispute Resolution; Arbitration) are incorporated into these Enterprise Terms.

13. General

(a) Entire agreement

The Agreement is the entire agreement between Customer and Licensor regarding the Enterprise subscription and supersedes prior or contemporaneous discussions and representations about it.

(b) Changes

Licensor may update these Enterprise Terms prospectively. Material changes will not apply during a paid Subscription Term. Licensor will give the billing contact at least thirty (30) days’ notice before material changes take effect for a Renewal Term. Renewal after the effective date of the notified terms constitutes acceptance, except where applicable law requires a different form of consent.

(c) Assignment

EULA Section 16(h) (Assignment) is incorporated into these Enterprise Terms and applies to the Enterprise subscription and any Order. Customer may not assign the subscription except as permitted by that Section, and a permitted assignment does not by itself increase the Authorized Users, entities, or machine activations covered by Section 3.

(d) Electronic communications

Customer consents to receive contractual, billing, renewal, and service notices electronically at the email address associated with the Order. Notices to Licensor must be sent to the applicable address below. Notices are effective when received, except that cancellation requests are subject to Section 6.
